Terms of Service

1. Acceptance of Terms

By accessing the Sanagi website at https://sanagi.app, joining our alpha waitlist, or otherwise interacting with the Service, you (“you”, “User”) agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, please discontinue use of the Service immediately.

These Terms constitute a legally binding agreement between you and Shuhei Yamamoto (sole proprietor, operating under the trade name “Sanagi”) (“Sanagi”, “we”, “us”, “our”).

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Service Description

Sanagi is currently in pre-launch / waitlist phase. No AI companion service is currently active. The Service in its current state consists solely of:

• The website at https://sanagi.app, providing information about the upcoming alpha service.
• A waitlist registration mechanism for receiving notification when alpha access opens.
• Limited optional free-text response collection at waitlist signup (see Privacy Policy Section 2).

When the alpha AI companion service launches, this Section will be updated to describe its specific features, scope, and limitations.

3. Eligibility

You must be at least 13 years old to use the Service. If you are located in the European Economic Area (EEA), the United Kingdom, or Switzerland, you must be at least 16 years old, or the minimum age set by your member state law (between 13 and 16) under GDPR Article 8.

If you are below the applicable minimum age, you may use the Service only with verifiable parental or guardian consent.

The AI companion service is for adults only. Notwithstanding the above, access to the Sanagi AI companion application (alpha and any subsequent release) requires you to be at least 18 years old. Your date of birth is collected at companion creation, and accounts found to belong to users under 18 will be reviewed and may be suspended. The age limits above continue to apply to this website and waitlist only.

By using the Service, you represent and warrant that you meet the applicable age requirement. This Section is consistent with Privacy Policy Section 9 (Children’s Privacy).

4. License Grant

Subject to your compliance with these Terms, Sanagi grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for personal, non-commercial purposes.

This license is granted solely for the purposes described in these Terms and does not include any right to:

• Modify, adapt, translate, reverse-engineer, decompile, or disassemble the Service or any portion thereof
• Create derivative works based on the Service
• Use the Service for commercial resale or as part of a competing service
• Remove, alter, or obscure any proprietary notices, trademarks, or attributions
• Use automated means (scrapers, bots, etc.) to access the Service except as expressly permitted

All rights not expressly granted in these Terms are reserved by Sanagi.

5. Acceptable Use

You agree not to use the Service to:

• Engage in spam, fraud, or deceptive practices
• Attempt to gain unauthorized accessto the Service, its underlying infrastructure, other users’ accounts, or Anthropic’s API services
• Harass, threaten, defame, or impersonate any individual or organization
• Distribute malware, viruses, or harmful code
• Use automated scraping, crawling, or data extraction tools against the Service
• Reverse-engineer or attempt to derive source code from the Service
• Violate any applicable law or regulation in your jurisdiction or any jurisdiction the Service operates in
• Violate Anthropic’s Acceptable Use Policy when using the Service under our BYOK architecture (once alpha launches)
• Submit content that infringesany third party’s intellectual property, privacy, publicity, or other rights
• Use the Service to generatechild sexual abuse material, content promoting terrorism or violence, content facilitating illegal activities, or other content prohibited by Anthropic’s Acceptable Use Policy

Violations may result in immediate suspension or termination of your access (see Section 12) and may trigger the indemnification obligations described in Section 10.

6. User-Generated Content (UGC)

“User-Generated Content” or “UGC” includes any content you submit to the Service, such as:

• Free-text responses provided at waitlist signup
• (Once the alpha service launches) AI conversation inputs, persona configurations, custom prompts, and related data

You retain ownership of your UGC. By submitting UGC, you grant Sanagi a worldwide, non-exclusive, royalty-free, sublicensable license to use, store, process, transmit, and display your UGC solely for the purpose of operating and improving the Service.

You represent and warrant that:

• You own or have the necessary rights to submit your UGC
• Your UGC does not violate any third party’s intellectual property, privacy, publicity, or other rights
• Your UGC does not violate any applicable law or these Terms

We do not claim ownership of your UGC. We do not sell or rent your UGC to third parties (see Privacy Policy for data handling details).

7. Intellectual Property

All intellectual property rights in the Service, including the “Sanagi” name and trademark, logo, website design, source code, default persona templates, documentation, and visual assets, are owned by Shuhei Yamamoto (sole proprietor, operating under the trade name “Sanagi”) or licensed from third parties.

These Terms do not transfer any intellectual property rights to you, except for the limited license described in Section 4.

You may not use the Sanagi name, logo, or trademark without our prior written consent, except for factual reference (e.g., “I joined the Sanagi waitlist”) or as expressly permitted by applicable fair-use principles.

Third-party trademarks, service marks, and trade names referenced in the Service (e.g., “Anthropic”, “Claude”) are the property of their respective owners.

8. Disclaimers (Warranty)

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the maximum extent permitted by applicable law, we disclaim all warranties, including but not limited to:

• Merchantability
• Fitness for a particular purpose
• Non-infringement of third-party rights
• Accuracy, reliability, or completeness of any information provided through the Service
• Uninterrupted, secure, or error-free operation of the Service
• Correction of defects or freedom from harmful components

Specifically regarding the current waitlist phase and future alpha launch:

• The Service is currently in pre-launch / waitlist phase. No AI companion service is active. We make no warranty that the alpha service will launch on any particular timeline, or at all.
• Once the alpha service launches, the Service will rely on third-party AI providers(specifically, Anthropic’s Claude API via your own API key under our BYOK architecture). We make no warranty regarding the availability, performance, accuracy, or output quality of such third-party services.
• AI-generated content may be inaccurate, biased, fabricated, or unsuitable for your intended purposes. You are solely responsible for evaluating the suitability of any AI-generated content before relying on it for any purpose.
• Sanagi is not a substitute for professional advice (medical, legal, financial, psychological, or otherwise). If you are experiencing a mental-health crisis, please contact qualified emergency services or crisis hotlines in your jurisdiction.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In such jurisdictions, our warranties are limited to the minimum extent permitted by law.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SANAGI (INCLUDING THE OPERATOR, AFFILIATES, AGENTS, OR SUB-PROCESSORS) BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, business opportunities, or anticipated savings
• Loss, corruption, or unauthorized disclosure of data, including (once the alpha service launches) conversation history, persona configurations, or related metadata
• Business interruption or operational disruption
• Reputational harm, emotional distress, or relational harm arising from use of, or reliance on, the Service or any AI-generated content
• Third-party claims brought against you arising from your use of the Service

...whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, and whether or not Sanagi has been advised of the possibility of such damages.

Aggregate Liability Cap

In any event, Sanagi’s total aggregate liability arising out of or relating to these Terms or your use of the Service shall not exceed the lesser of:

• (a) the total amount paid by you to Sanagi in the twelve (12) months preceding the event giving rise to the claim, or
• (b) one hundred US dollars (US$100).

Note on BYOK Architecture

Sanagi operates under a Bring Your Own Key (BYOK)model. Any payments you make to Anthropic for Claude API usage are governed by Anthropic’s terms and are not included in the calculation of amounts “paid to Sanagi” for purposes of this Section. Sanagi assumes no liability for disputes, charges, service interruptions, or data handling arising from your direct relationship with Anthropic.

Exceptions

Nothing in these Terms shall limit or exclude liability for:

• Death or personal injury caused by negligence
• Fraud or fraudulent misrepresentation
• Willful misconduct or gross negligence
• Any liability that cannot be limited or excluded under applicable law (including, where applicable, consumer protection laws in your jurisdiction)

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the minimum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmlessSanagi (including the operator, affiliates, agents, and sub-processors) from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your violation of these Terms or any applicable law or regulation
• Your violation of the Acceptable Use provisions (Section 5)
• Your infringement of any third party’s rights, including intellectual property, privacy, publicity, or contractual rights
• Your submitted content, including waitlist free-text responses and (once the alpha service launches) AI conversation inputs, persona configurations, or related data
• Your violation of Anthropic’s terms of service or Acceptable Use Policy when using the Service under our BYOK architecture
• Any third-party claims brought against Sanagi based on your use of the Service to impersonate real individuals, generate defamatory content, or cause harm to others

Procedure

We will notify you in writing of any claim subject to indemnification, and you agree to:

• Assume control of the defense and settlement of the claim, at your expense
• Not enter into any settlement that imposes any obligation or liability on Sanagi without our prior written consent

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense.

This indemnification obligation will survive any termination of these Terms or your use of the Service.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the “Last Updated” date at the top of these Terms
• Notify waitlist subscribers and (once the alpha service launches) registered users via email at least 30 days before the changes take effect
• Post a notice on our website at https://sanagi.app

Your continued use of the Service after the updated Terms take effect indicates your acceptance of the changes. If you do not agree to the changes, you may discontinue use and request deletion of your data (see Privacy Policy Section 7).

This 30-day notice period is consistent with the corresponding mechanism in Privacy Policy Section 12.

12. Termination

By you: You may withdraw from the waitlist or discontinue use of the Service at any time. To request data deletion, contact us at sanagiapp.team@gmail.com (see Privacy Policy Section 7). At the waitlist stage, withdrawal is currently handled manually.

By Sanagi: We reserve the right to suspend or terminate your access to the Service immediately, without prior notice, if:

• You violate these Terms (including the Acceptable Use provisions in Section 5)
• You violate Anthropic’s Acceptable Use Policy when using BYOK
• We are required to do so by law or by a competent authority
• We discontinue the Service in whole or in part (with reasonable notice to active users where feasible)

Effect of termination: Upon termination, your license to access the Service terminates immediately. Sections 6 (UGC representations), 7 (IP), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), 13 (Successor Clause), 14 (Governing Law), 17 (Miscellaneous), and 18 (Contact) will survive termination.

Data retention and deletion procedures are described in Privacy Policy Section 6.

13. Successor Clause

Sanagi is currently operated by Shuhei Yamamoto as a sole proprietor. In the event that Sanagi transitions to a corporate entity (including but not limited to incorporation, business transfer, merger, or acquisition):

• These Terms (and your consent thereto) shall be deemed to apply to the successor entity without further action required from you
• Your rights and obligations under these Terms shall transfer to the relationship with the successor entity
• The successor entity shall be bound by all material commitments made under these Terms (including data handling practices described in the Privacy Policy)
• We will notify waitlist subscribers and (once the alpha service launches) registered users of any successor transition via email at least 30 days before the transition takes effect

If you do not agree to the transition, you may withdraw from the Service and request data deletion (see Privacy Policy Section 7).

14. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of Japan, without regard to its conflict-of-law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms, the Service, or your use of the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court (東京地方裁判所) as the court of first instance.

For users in jurisdictions where consumer protection laws grant additional rights (including the right to bring claims in your local courts), this Section does not waive those rights to the extent they cannot be waived under applicable law.

15. 特定商取引法に基づく表記 (Specified Commercial Transactions Act Notice)

This section applies to users in Japan, pursuant to the Specified Commercial Transactions Act (特定商取引法, Act No. 57 of 1976). The Japanese-language original below is authoritative for Japanese consumers; the English summary is provided for convenience.

16. AI Companion Services Notice

When Sanagi launches its alpha AI companion features, these Terms will be expanded to cover:

Anticipated additions at alpha launch

• BYOK (Bring Your Own Key) Provisions— Your obligation to obtain, manage, and secure your own Anthropic Claude API key. Anthropic’s terms of service and Acceptable Use Policy apply to your API usage; violations may result in suspension or termination of your Sanagi account.
• AI Disclosure Obligations — Compliance with California SB 243 (effective 2026-01-01), New York AI Companion Models Law (effective 2025-11), and EU AI Act Article 50 (effective 2025-08): clear disclosure that you are interacting with an AI, periodic re-disclosure during extended sessions, and crisis-resource referral procedures.
• Persona Configuration & Intellectual Property — Allocation of rights between you (configuration choices, custom prompts) and Sanagi (underlying framework, default persona templates). Restrictions on impersonating real individuals without consent.
• Mental Health & Wellbeing Disclaimers — Reaffirmation that Sanagi is not a substitute for licensed mental-health professionals; user acknowledgment of risks associated with extended AI companion use (including potential effects on real-world relationships); crisis-resource referral procedures.

17. Miscellaneous

Force Majeure: Neither party shall be liable for any failure or delay in performance caused by circumstances beyond reasonable control, including but not limited to natural disasters, war, terrorism, pandemic, governmental actions, infrastructure failures (including third-party service provider outages), or labor disputes.

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.

Entire Agreement: These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Sanagi regarding the Service and supersede all prior agreements, communications, or understandings (whether oral or written).

Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Sanagi may assign these Terms to a successor entity (see Section 13).

No Waiver: Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or any other provision.

Headings: Section headings are provided for convenience only and do not affect the interpretation of these Terms.

Language: These Terms are written in English, with Section 15 (特定商取引法に基づく表記) provided in both Japanese and English. In case of any discrepancy between the English text and the Japanese translation of Section 15, the Japanese version of Section 15 controls for Japanese consumers (per Specified Commercial Transactions Act compliance); the English text controls for all other provisions.
